The website located at www.ospra.co and the application platform at app.ospra.co (collectively, the “Site”) are copyrighted works belonging to Ospra Pvt Ltd (“Company”, “us”, “our”, and “we”).

These Terms of Use (these “Terms”) set forth the legally binding terms and conditions that govern your use of the Site and our Digital Battery Passport services. By accessing or using the Site, you are accepting these Terms (on behalf of yourself or the entity that you represent), and you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

1. ACCOUNTS

1.1 Account Creation. In order to use certain features of the Site, such as generating QR codes or entering supply chain data, you must register for an account (“Account”). You represent that all required registration information you submit is truthful and accurate.

1.2 Data Persistence and Deletion. You may request to delete your personal account at any time. However, you acknowledge and agree that Technical Battery Data and Supply Chain Records associated with a generated QR code are essential to the integrity of the Digital Battery Passport. To ensure the QR code remains functional for stakeholders in the supply chain, such data may be retained indefinitely and may not be subject to deletion even if an individual user account is closed.

2. ACCESS TO THE SITE

2.1 License. Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to access the Site and use the Service solely for your professional business purposes related to battery management and tracking.

2.2 Certain Restrictions. You shall not: (a) license, sell, or commercially exploit the Site software itself; (b) modify, disassemble, or reverse engineer any part of the Site; or (c) access the Site in order to build a similar or competitive service.

3. USER CONTENT AND BATTERY DATA

3.1 User Content. “User Content” means any information or content that a user submits to the Site, including company details and battery specifications. You are solely responsible for the accuracy of your User Content.

3.2 License to Service Data. By entering battery and supply chain info, you grant the Company a license to process and display this data via the Digital Battery Passport system for the purpose of providing the Service to you and other authorized parties in the supply chain.

3.3 Acceptable Use. You agree not to use the Site to upload any content that (a) violates any third-party right; (b) is unlawful or misleading; or (c) is intended to damage or alter a computer system or data.

4. OWNERSHIP

You acknowledge that all intellectual property rights in the Site and its software are owned by Company. Excluding your User Content, Company and its suppliers reserve all rights.

5. INDEMNIFICATION

You agree to indemnify and hold Company (and its officers and employees) harmless from any claim or demand made by any third party due to or arising out of (a) your use of the Site, (b) your violation of these Terms, or (c) any inaccurate Battery Data or User Content you provide.

6. DISCLAIMERS AND LIMITATION ON LIABILITY

6.1 As-Is Basis. THE SITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. WE MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED.

6.2 No Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OSPRA PVT LTD BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE.

7. DISPUTE RESOLUTION

7.1 Binding Arbitration. You and Company agree that any dispute relating in any way to the Site or Services will be resolved by binding arbitration, rather than in court.

7.2 Waiver of Jury Trial. YOU AND THE COMPANY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

7.3 Waiver of Class Actions. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
